Terms of Service
By ordering, accessing, or using Zynoo’s hosting, infrastructure, and related services (the “Services”), you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Services.
If you use the Services on behalf of a company or other organization, you confirm you have authority to accept these Terms for that organization.
1. Related Policies and Other Terms
These Terms are the main agreement for the Services. The following documents are incorporated by reference and form part of this agreement:
- Acceptable Usage Policy (AUP): Read the policy
- Billing & Refund Policy: Read the policy
- Service Descriptions: plan descriptions, limits, technical details, and product information shown on our website, at checkout, or in your client portal
If there is a conflict, the following order applies: Service Descriptions/Order → SLA → these Terms → other policies, unless a document clearly states otherwise.
2. Definitions
- Account: your Zynoo customer account.
- Content: anything you upload, store, host, transmit, or make available using the Services (including websites, files, databases, email, code, text, images, and other data).
- Order: your purchase of Services, including plan term, add-ons, renewals, and any usage-based charges (if applicable).
3. Services
Zynoo provides the Services according to your Order and the applicable Service Descriptions. Service Descriptions may include technical limits (for example: storage, bandwidth, CPU, memory, inodes, email sending limits, number of domains, or other constraints) and may vary by product type (shared hosting, VPS, dedicated servers, managed services, etc.).
- Plan-based scope: features, performance levels, and support scope depend on the plan you purchased. If a feature is not included in your plan, it may require an upgrade or paid add-on.
- Service changes: we may update, change, replace, or discontinue parts of the Services to maintain security, stability, compliance, or to improve the Services. If a change materially reduces a core paid feature, we will use commercially reasonable efforts to provide notice when practical.
- Maintenance: planned or emergency maintenance and security actions may cause temporary interruptions.
- Technical requirements: you must follow reasonable technical instructions we provide (for example, DNS records needed to activate a service, or security steps needed to resolve a compromise).
4. Account Information and Security
To use the Services, you must maintain an Account. Account security is critical because access to your Account can allow changes to hosting settings, DNS, email, and Content.
- Accurate account information: You must provide accurate and complete contact and billing information when creating an Account (including a working email address). This information is used to verify Account ownership, deliver service notices, support account recovery, and meet payment processor or compliance requirements. In some cases, we may request additional verification (including government-issued ID or business documentation) to confirm the identity of the Account holder or to prevent fraud, unauthorized access, or payment abuse.
- Keep information current: you must keep your contact details up to date. If your email address or other details are incorrect, you may miss important notices (including security incidents, payment failures, or suspension warnings). Zynoo is not responsible for issues caused by outdated Account information.
- Account owner: the person or entity listed as the Account holder is treated as the owner of the Account. You are responsible for ensuring only authorized persons have access.
- Credential security: you are responsible for protecting your passwords, API keys, SSH keys, and other credentials. Use strong passwords and enable multi-factor authentication (MFA) where available.
- Compromise reporting: if you suspect unauthorized access or compromise (unexpected logins, altered files, malware, spam, or phishing activity), you must notify us promptly. We may require password resets, patching, or other steps before restoring services.
- Verification: for security reasons, we may require verification before granting access, processing ownership-related requests, or making sensitive changes to an Account.
5. Fees, Payments, Refunds, and Auto-Renewal
You agree to pay all fees associated with your Orders, including recurring fees and any usage-based charges (if applicable). Pricing, plan terms, and included limits are shown in your Order and/or Service Descriptions.
- Auto-renewal: most Services are sold as subscriptions and renew automatically unless you cancel according to the Billing & Refund Policy and your plan term. Renewal charges may be processed before the renewal date to avoid service interruption.
- Payment authorization: by providing a payment method, you authorize Zynoo (and our payment processors) to charge your payment method for initial purchases, renewals, approved add-ons, applicable usage-based charges (if any), and taxes where applicable.
- Failed or late payments: if payment fails or becomes overdue, we may suspend Services until payment is received. Continued non-payment may lead to termination. You remain responsible for amounts due.
- Refunds: refund eligibility (if any), timing, exclusions, and cancellation rules are governed by the Billing & Refund Policy. If there is a conflict between this section and that policy on refunds/cancellations, the Billing & Refund Policy controls.
- Chargebacks: if you initiate a chargeback or payment dispute, we may suspend Services while investigating and may require you to provide information reasonably requested by our payment processor.
- Taxes: fees are exclusive of taxes unless stated otherwise; you are responsible for applicable taxes, duties, and governmental charges.
6. Service Levels (SLA)
If an SLA applies to your Service, it defines uptime commitments, measurement, exclusions, and any service credits. SLA credits (if any) are your sole and exclusive remedy for SLA-covered availability issues, as described in the SLA.
7. Backups and Data
You are responsible for maintaining independent backups of your Content and data. Hosting systems can fail or be affected by events such as software issues, misconfiguration, third-party attacks, hardware failure, or human error. You agree to keep backups appropriate to your needs, including websites, databases, and email.
If Zynoo offers backup features, they are provided as a convenience and may have limits (retention windows, storage caps, exclusions, or availability constraints). We do not guarantee that backups will always be available, complete, current, or recoverable for every incident.
Restoration requests may be subject to technical feasibility and, where applicable, additional fees (for example, manual recovery assistance).
8. GENERAL RULES OF CONDUCT
This section summarizes expected conduct when using the Services. The complete list of prohibited activity is defined in the AUP.
- Do not use the Services for unlawful, harmful, abusive, or disruptive activity.
- Do not publish or distribute Content that is unlawful, exploits minors, or promotes violence, terrorism, or self-harm.
- Do not distribute malware or run tools designed to compromise systems, bypass security controls, or consume excessive resources (including unauthorized cryptominers).
- Do not engage in hacking, scanning, phishing, fraud, identity theft, or spam.
- Do not run services intended to conceal identity or facilitate abuse (such as open proxies used for spam or attacks).
- Do not cause reputational or technical harm to our infrastructure (including actions that result in IP blacklisting or repeated abuse complaints).
- Do not impersonate others or mislead end users in a way that may cause harm.
9. Acceptable Use and Compliance
You must use the Services in compliance with applicable law and the AUP. Violations of the AUP are a material breach of these Terms.
If we reasonably believe your use violates these Terms or the AUP, is unlawful, or creates a security or operational risk, we may take protective action. This may include removing or disabling access to Content, limiting service functionality, isolating impacted services, or suspending or terminating the Services.
We may investigate abuse reports and may comply with lawful requests from authorities where required.
10. Customer Responsibilities
Unless your Service Description clearly states the Service is “managed,” you are responsible for your hosted environment, including your applications, code, configurations, and security. This includes keeping software (including CMS and plugins) updated and using appropriate access controls.
You must operate within your plan limits. If your usage is excessive or harms performance or stability for other customers, we may throttle resources, require changes, or require an upgrade.
If you provide access to your Account to employees, contractors, or other third parties, you remain responsible for their actions and compliance.
11. Content and Intellectual Property
You keep ownership of your Content.
You grant Zynoo a limited, non-exclusive permission (license) to store, process, transmit, and display your Content only as necessary to provide, maintain, secure, and support the Services (for example, to deliver your website, run normal operations, and address abuse or technical issues).
Zynoo owns and retains all rights in the Services, platform, software, documentation, and underlying technology. You may not reverse engineer or attempt to extract source code from the Services except to the extent such restriction is prohibited by law.
If you provide feedback or suggestions to Zynoo, you allow us to use them without obligation to you.
12. Copyright Complaints
If you believe that Content hosted using the Services infringes your copyright, please report it to [abuse@zynoo.com].
Your report should include enough information for us to review and locate the Content, such as:
- a description of the copyrighted work you believe is being infringed;
- the URL(s) or location(s) of the Content on our Services;
- your name and contact details; and
- a short statement explaining why you believe the use is unauthorized.
Customer Content and responsibility. Zynoo provides hosting services and does not create or control customer Content. Customers are responsible for ensuring their Content complies with applicable law and third-party rights. Zynoo’s responsibility for customer Content is limited to the extent required by applicable law.
After receiving a report, we may remove or disable access to the reported Content and may contact the affected customer. Accounts that repeatedly infringe intellectual property rights may be suspended or terminated.
13. Third-Party Services
The Services may integrate with or depend on third-party products or services (for example, control panels, registrars, payment processors). Third-party terms may apply. Zynoo is not responsible for third-party services except as expressly stated in these Terms or Service Descriptions.
14. Suspension, Termination, and Content Removal
We may suspend Services immediately if we reasonably determine that you breached these Terms, the GENERAL RULES OF CONDUCT, or the AUP; your use is unlawful; your use creates a security, operational, or legal risk; payment is overdue; or we are required to do so by law or legal process.
We may terminate Services for serious or repeated breaches. You may cancel according to the Billing & Refund Policy and your plan terms.
If Services are suspended or terminated, you may lose access to Content. You are responsible for exporting your Content before cancellation or termination. After termination, we may delete Content and account data as part of normal operations and do not guarantee retrieval.
15. Support and Notices
Support is provided through our official support channels published on our website and/or client portal.
We may send operational and service notices to you electronically (for example, by email or client portal notifications). You are responsible for keeping your contact details current.
16. Disclaimers
Except as expressly stated in an applicable SLA or Service Description, the Services are provided “as is” and “as available.” To the maximum extent permitted by law, Zynoo disclaims all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
17. Limitation of Liability
To the maximum extent permitted by law, Zynoo will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business, goodwill, opportunities, or data, even if advised of the possibility.
Zynoo will not be liable for damages arising from: (a) your Content, software, or configurations; (b) unauthorized access, security incidents, or third-party attacks; (c) third-party services or networks; (d) data loss or corruption; or (e) suspension or termination performed under these Terms.
Zynoo’s total aggregate liability for any claim relating to the Services will not exceed the fees paid by you for the affected Service during the three (3) months immediately preceding the event giving rise to the claim.
Some jurisdictions do not allow certain limitations; in those cases, liability is limited to the fullest extent permitted by law.
18. Changes to These Terms
We may update these Terms from time to time. Updates become effective when posted on our website. If you continue to use the Services after the effective date, you agree to the updated Terms.
19. General Provisions
If any part of these Terms is held unenforceable, the remaining parts will remain in effect. If we do not enforce a provision at any time, that does not waive our right to enforce it later.
These Terms, together with the incorporated policies, Orders, and Service Descriptions, are the entire agreement between you and Zynoo regarding the Services and replace any prior discussions or agreements on the same subject.
Sections that by their nature should survive termination will survive, including Sections 11 (Content and Intellectual Property), 16 (Disclaimers), 17 (Limitation of Liability), and this Section 19.
